BLF handles the following work and litigation, if necessary, relating to limited liability companies, i.e., LLCs: member resignation and sale of the member’s interest; member interest buyout; business divorce litigation; corporate shareholders’/member interest holder disputes; corporation and LLC dissolutions; revising of company agreements, bylaws and shareholder/member agreements as part of the resolution of litigation. Partnerships and limited partnerships are far less used now but BLF litigates and works with these business entity forms as well.
Generally, BLF does not take cases under any fee arrangement if the damages, exclusive of legal fees, if available, are less than three-hundred thousand dollars US ($300,000.00). If an award of legal fees is available under the causes of action that are supported by the facts of the case, e.g., breach of contract, and statutory torts like antitrust, securities’ fraud, RICO, real estate fraud, declaratory judgments (contractual interpretations typically) and the like, without limitation, a substantial portion but rarely all of the client’s legal fees may be awarded at the discretion of the jury and/or the court, or the arbitrator, as the case may be.
BLF has had to litigate many superficial (online generic) company or operating agreements involving LLCs, which now account for about 98% of the entities created.
